WHEREAS, OutBack represents that they have certain business plans, business systems and practices, concepts, data, documentation, ideas, products, records, research, software, trade secrets, trademarks and/or other information which in whole or in part is considered to be proprietary and/or confidential information relating to the business of OutBack Steel Buildings.
 
AND WHEREAS, during the course of their dealings with OutBack, the Undersigned will be allowed access to proprietary and/or confidential information belonging to OutBack, as well as information regarding internal operations, principals, shareholders, officers and employees.
 
NOW, THEREFORE, the Undersigned agrees that the license to review all proprietary and/or confidential information is personal to the Undersigned and such information shall be held in trust and confidence and shall not be discussed or disclosed, in verbal, written, electronic or any other form to any individual or organization other than the Undersigned, or with Undersigned employees, contractors, consultants, shareholders, or lenders, unless authorized by OutBack principals in writing.  Proprietary and/or confidential Information shall not be divulged to any individual involved in a potentially competing business by the Undersigned.
 
JURISDICTION AND ENFORCEMENT of this Agreement will be within the State of Oregon, United States of America as being the proper venue should any dispute arise between the parties relative to the application or interpretation of this Agreement.  In the event either party is required to enforce the terms of this Agreement, then the prevailing party shall be entitled to Attorney fees, court costs, and all remedies available by law both in law and equity including but not limited to injunctive relief and damages.
